CLEVERMIND ENTERTAINMENT WEBSITE TERMS & CONDITIONS
Last Updated: September 14, 2026
These Terms & Conditions (the “Terms”) govern your access to and use of the websites, online services, features, content, and other digital properties operated by or on behalf of CleverMind Entertainment that link to or reference these Terms (collectively, the “Sites” or “Services”).
These Terms constitute an agreement between you and CleverMind Entertainment (“CleverMind Entertainment,” “CME,” “we,” “us,” or “our”).
By accessing or using the Sites, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms or policies expressly incorporated into them. If you do not agree to these Terms, you should not access or use the Sites.
References to “you” and “your” mean the individual or entity accessing or using the Sites.
- Changes to These Terms
We may update or modify these Terms from time to time to reflect changes to our Sites, Services, business practices, technologies, or legal obligations.
When we make changes, we will post the revised Terms on the applicable Site and update the Last Updated date above.
Where required by applicable law, we will provide additional notice of material changes.
Your continued use of the Sites after revised Terms become effective constitutes your acceptance of the revised Terms to the extent permitted by applicable law.
- Use of the Sites
A. Permission to Use the Sites
Subject to these Terms, CME grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Sites for lawful purposes.
This permission does not transfer to you any ownership or other intellectual-property rights in the Sites or CME Content.
We may suspend, restrict, or terminate access to the Sites where reasonably necessary, including where we believe these Terms have been violated or where use of the Sites creates a security, legal, operational, or other material risk.
B. Site Availability
We may modify, update, suspend, restrict, discontinue, or change any portion of the Sites or Services at any time.
We do not guarantee that the Sites, any particular feature, or any content will always be available, uninterrupted, secure, or error-free.
Scheduled or unscheduled maintenance, technical issues, third-party services, security concerns, or circumstances outside our reasonable control may affect Site availability.
C. Eligibility and Lawful Use
You may use the Sites only in compliance with these Terms and applicable law.
If you use the Sites on behalf of a business, organization, artist, label, or other entity, you represent that you have authority to act on behalf of that entity with respect to your use of the Sites.
- CME Content and Intellectual Property
A. CME Content
Unless otherwise indicated, the Sites and the materials made available through them—including text, graphics, artwork, photographs, images, video, audio, music, sound recordings, designs, logos, trademarks, service marks, interfaces, layouts, software, data, compilations, and other materials (collectively, “CME Content”)—are owned, controlled, licensed, or otherwise lawfully used by CME.
CME Content may be protected by copyright, trademark, publicity, contract, and other intellectual-property or proprietary-rights laws.
Except as expressly authorized by CME or permitted by applicable law, you may not copy, reproduce, republish, distribute, transmit, publicly display, publicly perform, modify, create derivative works from, sell, license, commercially exploit, or otherwise use CME Content without prior authorization from the applicable rights holder.
B. Personal, Non-Commercial Use
Where CME makes content available for ordinary viewing or personal use, you may access that content for your personal, non-commercial use subject to these Terms.
Where CME expressly makes material available for download, you may download and use that material only for the purpose and subject to the conditions communicated with the material.
All copyright, trademark, attribution, and other proprietary notices must remain intact.
C. Trademarks
CleverMind Entertainment, CME, associated logos, slogans, marks, trade names, designs, and other brand identifiers are owned by or licensed to CME unless otherwise indicated.
Nothing in these Terms grants you a license or right to use any CME trademark, logo, trade dress, or other brand identifier except with CME’s prior authorization or as otherwise permitted by applicable law.
- Content You Provide to CME
A. Your Ownership
Except as otherwise provided in a separate agreement, you retain any ownership rights you may have in photographs, videos, audio, music, written materials, messages, files, creative materials, or other content that you submit or make available to CME (“Your Content”).
B. Limited Permission Necessary to Provide the Service
When you submit Your Content through a Site or Service, you grant CME a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, format, and otherwise process Your Content only to the extent reasonably necessary to:
❖ operate and provide the applicable Site or Service;
❖ respond to your request or communication;
❖ perform the purpose for which you submitted the material;
❖ maintain, secure, or improve the applicable Site or Service; or
❖ exercise rights that you have otherwise expressly granted to CME.
This provision does not transfer ownership of Your Content to CME.
C. Client, Artist, and Project Materials
Materials submitted in connection with a client engagement, artist relationship, production, marketing campaign, consultation, licensing arrangement, or other separately governed business relationship are subject to the applicable agreement between CME and the relevant parties.
If a separate written agreement conflicts with this section regarding ownership, licensing, confidentiality, permitted use, or other rights in project materials, the separate agreement will control with respect to those materials.
D. Your Responsibility for Submitted Content
You represent that you have the rights and permissions reasonably necessary to submit Your Content and to authorize CME to use it for the purposes described above.
You must not knowingly submit material that infringes another person’s intellectual-property, privacy, publicity, contractual, or other legal rights.
- Restrictions on Use
You agree that you will not, and will not knowingly assist, encourage, or enable another person to:
❖ use the Sites for unlawful, fraudulent, deceptive, abusive, threatening, harassing, or malicious purposes;
❖ upload, transmit, introduce, or distribute viruses, Trojan horses, malware, malicious code, corrupted data, or other harmful technology;
❖ infringe or misappropriate copyrights, trademarks, rights of publicity, privacy rights, trade secrets, or other rights belonging to CME or another party;
❖ impersonate another individual or entity or misrepresent your affiliation with any person or organization;
❖ solicit, collect, harvest, or process personal information about another person for unlawful purposes;
❖ attempt to gain unauthorized access to the Sites, servers, systems, accounts, databases, networks, or other technology associated with the Sites;
❖ probe, scan, test, circumvent, disable, damage, or interfere with security or authentication measures;
❖ interfere with or disrupt the operation, performance, availability, or security of the Sites;
❖ impose an unreasonable or disproportionately large load on the Sites or their supporting infrastructure;
❖ remove, obscure, alter, or interfere with copyright, trademark, attribution, or other proprietary-rights notices;
❖ frame, mirror, reproduce, or reformat a material portion of the Sites without authorization;
❖ use bots, spiders, crawlers, scrapers, site-search/retrieval applications, automated agents, or similar technologies to access, collect, extract, index, copy, or otherwise process Site content except as expressly authorized by CME or permitted by applicable law; or
❖ use the Sites or CME Content in a manner that violates these Terms or any other terms or policies applicable to the relevant Site or Service.
- Artificial Intelligence and Automated Use
Use of CME Content in connection with artificial intelligence, machine learning, automated computational systems, model development, training, pre-training, fine-tuning, evaluation, benchmarking, retrieval, data mining, scraping, or related activities is subject to CME’s separate AI Usage Terms, which are incorporated into these Terms by reference.
Where these Terms and the AI Usage Terms address the same activity, the more specific provision applicable to that activity will govern.
Nothing in these Terms grants authorization to use CME Content for artificial-intelligence or machine-learning purposes beyond any rights expressly granted by CME or otherwise available under applicable law.
- Unsolicited Creative Submissions
CME does not accept or consider unsolicited musical compositions, sound recordings, beats, scripts, treatments, concepts, ideas, artwork, video concepts, marketing concepts, or other creative materials unless CME has specifically requested the submission or provided a process through which such material may be submitted.
If you nevertheless send unsolicited creative material to CME, you understand that:
❖ CME has no obligation to review, consider, use, return, preserve, or respond to the material;
❖ submitting material does not create a confidential, fiduciary, employment, agency, partnership, or other special relationship between you and CME;
❖ CME is not required to compensate you merely because material was submitted;
❖ CME or parties working with CME may independently create, develop, receive, or already possess ideas, concepts, themes, works, or materials that are similar or identical to something you submit; and
❖ no obligation of confidentiality arises solely from an unsolicited submission unless CME has expressly agreed otherwise in writing.
Nothing in this section transfers ownership of your copyrighted work to CME.
- Privacy
CME’s collection, use, disclosure, retention, and other processing of personal information is described in our Privacy Policy.
Our use of cookies and similar technologies may also be described in our Cookie Policy.
Those policies are incorporated into these Terms by reference where applicable.
- Third-Party Websites, Services, and Content
The Sites may contain links to, integrations with, embedded content from, or references to websites, applications, products, services, or platforms operated by third parties.
Unless expressly stated otherwise, CME does not control those third parties or their independent practices.
Third-party services may be subject to separate terms, privacy policies, licenses, fees, or conditions established by the applicable third party.
CME is not responsible for the availability, content, security, products, services, representations, or independent practices of third-party websites or services.
Your interaction with a third party is between you and that third party, subject to applicable law.
- Promotions
CME may from time to time make contests, sweepstakes, giveaways, surveys, games, or similar promotions available through the Sites (“Promotions”).
A Promotion may be governed by separate official rules or additional terms.
By participating in a Promotion, you agree to any official rules or additional terms applicable to that Promotion.
If applicable Promotion rules conflict with these Terms regarding participation in that Promotion, the applicable Promotion rules will control.
- Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless CME and its applicable affiliates, officers, directors, employees, representatives, agents, licensors, and service providers from and against third-party claims, liabilities, damages, losses, judgments, costs, and reasonable attorneys’ fees arising out of or relating to:
❖ your unlawful or unauthorized use of the Sites;
❖ your material violation of these Terms;
❖ Your Content, to the extent a claim results from material you submitted or rights you represented that you possessed; or
❖ your infringement or violation of another person’s rights.
CME reserves the right to assume control of the defense of a matter otherwise subject to indemnification, in which case you agree to reasonably cooperate with the defense.
Nothing in this section requires indemnification to the extent prohibited by applicable law.
- Disclaimers
PLEASE READ THIS SECTION CAREFULLY. THE FOLLOWING PROVISIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND DO NOT LIMIT RIGHTS THAT CANNOT LAWFULLY BE WAIVED OR LIMITED.
A. Sites Provided “As Is”
The Sites and CME Content are provided on an “as is,” “as available,” and “with all faults” basis to the fullest extent permitted by applicable law.
CME does not guarantee that the Sites will always be available, uninterrupted, error-free, accurate, complete, secure, or free from harmful components.
B. No Implied Warranties
To the fullest extent permitted by applicable law, CME disclaims warranties and conditions that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Some jurisdictions do not permit the exclusion of certain warranties, so some exclusions may not apply to you.
C. Information and Content
CME does not warrant that all information or content appearing on the Sites will always be current, complete, accurate, or suitable for a particular purpose.
Information made available through the Sites should not be interpreted as creating a professional, fiduciary, or other relationship unless expressly agreed in writing.
- Limitation of Liability
To the fullest extent permitted by applicable law, CME and its applicable affiliates, officers, directors, employees, representatives, agents, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to access to or use of, or inability to access or use, the Sites.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some provisions of this section may not apply to you.
- Geographic Availability
The Sites may be accessible from locations throughout the United States and other parts of the world.
The availability of a Site does not mean that every CME Service, product, opportunity, Promotion, or offering is available in every jurisdiction.
CME may restrict the availability of certain Sites, Services, content, offerings, or features based on geographic location, legal requirements, licensing restrictions, business considerations, or other legitimate reasons.
Any offering is void where prohibited by applicable law.
- Governing Law and Venue
Except where applicable law requires otherwise, these Terms and disputes arising out of or relating to these Terms or the Sites will be governed by the laws of the State of Arizona, without regard to principles of conflicts of law.
Subject to any rights or remedies that cannot lawfully be waived, proceedings arising from these Terms or the Sites will be brought in an appropriate state or federal court located in Maricopa County, Arizona, and the parties consent to the jurisdiction and venue of those courts.
Nothing in this section deprives a consumer of any protection provided by mandatory law that cannot lawfully be waived by agreement.
- General Terms
A. Entire Agreement
These Terms, together with policies and additional terms expressly incorporated by reference, constitute the agreement between you and CME regarding your use of the Sites, except where a separate agreement expressly governs a particular Service, project, transaction, or relationship.
B. Separate Agreements
If you have entered into a separate written agreement with CME concerning a client engagement, artist relationship, production, campaign, license, purchase, or other business arrangement, that separate agreement will govern to the extent of any conflict concerning its subject matter.
C. Severability
If a provision of these Terms is determined by a court or other tribunal of competent jurisdiction to be invalid or unenforceable, the provision will be enforced to the maximum extent permitted by law or, where appropriate, severed, and the remaining provisions will remain in effect.
D. No Waiver
CME’s failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.
A waiver will be effective only where made in accordance with applicable law and will not constitute a continuing waiver unless expressly stated.
E. Assignment
You may not assign or transfer your rights or obligations under these Terms without CME’s prior written consent.
CME may assign or transfer its rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or otherwise as permitted by applicable law.
F. Headings
Section headings are provided for convenience and organization only and do not affect the interpretation of these Terms.
G. Electronic Communications
When you communicate with CME electronically or use the Sites, you may receive communications from us electronically where permitted by law.
Electronic notices may be provided through the Sites or another method reasonably appropriate to the applicable communication.
- Copyright Infringement and DMCA Notices
CME respects intellectual-property rights and may respond to valid notices of claimed copyright infringement in accordance with applicable law.
If you believe in good faith that copyrighted material appearing on or accessible through a CME Site infringes a copyright you own or are authorized to enforce, you may submit a written notice containing the information required by the Digital Millennium Copyright Act (“DMCA”), including:
❖ a physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;
❖ identification of the copyrighted work claimed to have been infringed or, where multiple works are involved, a representative list;
❖ identification of the allegedly infringing material and information reasonably sufficient to allow CME to locate the material;
❖ information reasonably sufficient to allow the designated agent to contact you;
❖ a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
❖ a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right allegedly infringed.
